Terms of Service

These Terms of Service govern your use of DawnShft, a software service for structured trading analysis, journaling, trade planning, and related workspace tools. By creating an account or using DawnShft, you agree to these terms.

1. The service

DawnShft provides software tools for organizing market information and your own trading process. Features, limits, availability, and pricing may change as the service develops.

2. No investment advice

DawnShft is an information and productivity tool, not an investment adviser, broker, financial planner, or signal service. Market commentary, setups, scores, AI-generated content, levels, and other information are for educational and informational purposes only. You are solely responsible for your trading decisions, orders, positions, risk, and losses.

3. Accounts

You are responsible for maintaining the security of your account credentials and for activity performed through your account. You must provide accurate information and must not use another person's account without authorization.

4. Subscriptions and billing

DawnShft Pro is offered on recurring monthly or annual plans. Current prices, trial periods, and renewal terms are shown on the pricing and checkout experience before purchase. Paid subscriptions are processed through Paddle, which acts as Merchant of Record. Subscription management, payment-method updates, cancellations, taxes, and transaction records may also be handled through Paddle.

5. Free trials and cancellation

Where a free trial is offered, the trial length and the price that applies after the trial are shown before checkout. You may cancel a subscription through the available subscription-management tools. Unless otherwise stated at checkout or required by applicable law, cancellation prevents the next renewal while access continues according to the subscription terms.

6. Acceptable use

You may not misuse DawnShft, attempt to bypass access controls or subscription limits, interfere with the service, introduce malicious code, scrape private account data, or use the service for unlawful purposes.

7. Your content

You retain your rights in the trading strategies, strategy rules, source materials, documents, journal entries, notes, trading records, and other content that you submit to or create through the Services. You grant DawnShft a limited, non-exclusive license to host, process, reproduce, transform, transmit, and display that content only as reasonably necessary to provide, secure, maintain, support, and improve the Services, subject to the Privacy Policy and applicable law. Use of DawnShft or Strategy Compiler does not, by itself, transfer ownership of your trading strategy or methodology to DawnShft.

8. Market data and availability

Market data may be delayed, unavailable, inaccurate, or interrupted, including because of external providers or market conditions. DawnShft does not guarantee continuous availability, accuracy, completeness, or suitability of market information.

9. Intellectual property

DawnShft, Strategy Compiler, and the original software, source code, object code, interfaces, designs, visual systems, product architecture, workflows, algorithms, documentation, branding, and other original materials that comprise the Services are owned by DawnShft and/or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, DawnShft grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose. No ownership interest in DawnShft, Strategy Compiler, or their underlying technology is transferred to you.

Except where applicable law does not permit the restriction, you may not copy, reproduce, distribute, sell, sublicense, reverse engineer, decompile, disassemble, or create derivative products from non-public source code, confidential technical materials, or other proprietary implementation, nor may you remove proprietary notices.

9A. Strategy Compiler

Strategy Compiler is proprietary DawnShft software designed to help users make their existing trading strategies explicit, structured, inspectable, and versioned. Strategy Compiler does not claim ownership of your strategy, methodology, uploaded source material, or trader-authored rules. The Strategy Compiler software itself, including its original interface, source code, provenance and lineage mechanisms, inspection logic, workflows, and implementation, remains proprietary to DawnShft and/or its licensors.

9B. Prohibited competitive use of non-public materials

You may not use non-public DawnShft or Strategy Compiler source code, confidential documentation, internal architecture, or proprietary workflows to develop, train, reproduce, or materially assist a competing software product or service without prior written permission, except to the extent applicable law prohibits such a restriction. This does not claim ownership over your trading strategy, general ideas, public information, independently developed know-how, or material that DawnShft has intentionally made public without confidentiality restrictions.

10. Termination

You may stop using DawnShft at any time. We may suspend or terminate access where reasonably necessary for security, abuse prevention, legal compliance, or material breach of these terms. Any provisions that by their nature should survive termination will continue to apply.

11. Disclaimers and liability

DawnShft is provided on an as-available basis. To the extent permitted by applicable law, DawnShft disclaims warranties that are not expressly provided in these terms and is not responsible for trading losses, market losses, lost profits, or decisions made using information displayed by the service.

12. Changes

We may update these terms as the service changes. The updated version will be posted on this page with a revised date. Continued use of DawnShft after an update constitutes acceptance of the updated terms to the extent permitted by law.
